Investment Thesis

The Opportunity Is in
the Friction

Northern New Jersey's workforce housing market is structurally undersupplied. High land costs, complex municipal processes, and layered incentive programs create friction that national developers avoid — and that friction is exactly where our edge lives.

We operate in Newark, Paterson, Bayonne, and surrounding Essex, Passaic, and Hudson County municipalities with long-standing relationships among property owners, brokers, community institutions, and local leadership. Those relationships bring us off-market opportunities, and they cannot be easily transferred to outside capital without a local operating partner.

Our model pairs development with our own registered contracting arm, which manages vetted, licensed, and insured trade partners directly. That gives us tighter control over construction cost, schedule, and quality, and on projects where we serve as general contractor, it keeps the GC fee inside the deal. Cost discipline is underwritten from day one.

Market Context
Demand Signal

Vacancy rates across Northern NJ multifamily remain compressed. Strong renter demand is driven by NYC proximity, institutional employment corridors, and limited new supply in the workforce housing segment.

Incentive Stack

PILOT agreements, LIHTC allocations, ASPIRE tax credits, and NJ HMFA financing are available to developers with the municipal relationships and compliance capacity to access them. These programs materially improve returns and reduce risk at the project level.

Our Position

Distinct District is an emerging Northern NJ developer with a defined thesis, operational infrastructure, and community relationships built through two decades of presence. Our differentiated edge: construction execution through a seasoned team + public incentive alignment + community-rooted sourcing.

Competitive Positioning

Four Structural
Advantages

Structural characteristics of how we source, build, and close — and why those capabilities are difficult to replicate without our specific relationships and market position.

01

Off-Market Sourcing Access

Twenty years of community presence across Essex and Passaic Counties have built real relationships with property owners, brokers, community institutions, and local leadership. Many of our deals come to us off-market through those relationships, before they are ever listed. We also pursue public RFPs and redevelopment designations.

02

Development and Construction, Managed Together

Our own registered contracting arm manages vetted, licensed, and insured trade partners directly, giving us tighter control over cost, schedule, and quality. When we serve as general contractor, the GC fee stays inside the deal instead of going to an outside contractor, and we can underwrite construction with deal-specific precision.

03

Incentive Program Fluency

PILOT, LIHTC, ASPIRE, and HUD/HMFA financing require compliance depth and close coordination with each municipality. We underwrite these programs into the model from day one — not as an afterthought.

04

MWBE-Certified Platform

Dual MBE/SBE certification qualifies us for set-aside contracts, P3 partnership designations, and publicly-funded development programs requiring certified minority participation. This opens procurement channels unavailable to non-certified firms.

The Principal
Founder & Chief Executive Officer

Dell Bethea

The Architect — Builder · Developer · Consultant

I founded Distinct District because I understand what it takes to build programs from nothing — and because I know these markets from the inside, not a spreadsheet. My background spans 20+ years of program development and community operations. I have navigated SAM.gov, NJSTART, SBE/MBE certification, municipal bid systems, and P3 structures as the operator executing each step. The construction execution advantage I bring is my team — operators who have built at scale in these exact markets, and who brought me into the room.

My relationships across Newark and these communities were built over two decades on the ground, and they bring us opportunities, including off-market deals, that outside developers never see. I am not a passive investor. I am the operator.

How We Execute

Our Development
Process

Every deal moves through the same disciplined framework. No shortcuts in underwriting, no outsourcing of the relationships that make deals work.

01

Site Sourcing & Municipal Diligence

Relationship-driven deal sourcing through established municipal channels, RFPs, and off-market broker relationships. Zoning, title, and entitlement risk assessed before capital commitment.

02

Underwriting & Incentive Modeling

Full pro forma with deal-specific cost analysis. PILOT, LIHTC, ASPIRE, and HUD/HMFA modeled from day one. IRR, DSCR, and cap-on-cost stress tested against conservative assumptions.

03

Entitlement & PILOT Strategy

Direct municipal engagement on tax incentive agreements. Early, consistent engagement with city leadership and planning departments keeps the entitlement timeline on track and reduces regulatory risk.

04

Capital Stack Formation

Structured around deal-specific requirements. LP equity, mezzanine, construction financing, and public incentive layering assembled based on deal profile and return targets.

05

Permitting & Pre-Construction

Our contracting arm manages permit coordination, architect/engineer alignment, subcontractor bidding, and scope development. We control pre-construction — no handoffs.

06

Construction Execution

Construction delivered through our own contracting arm and vetted trade partners. We manage cost, schedule, and quality directly, and on projects we build ourselves, the GC fee stays in the deal.

07

Lease-Up & Stabilization

Workforce and affordable housing units lease quickly in our target markets. Stabilization underwritten conservatively and monitored against actual performance.

08

Refinance or Disposition

Stabilized assets refinanced for investor return of capital or held for long-term cash flow. Exit strategy is defined before capital is raised.

Investor FAQ

Common
Questions

What type of deals does Distinct District target?
Ground-up multifamily and mixed-use development with a minimum of 21 units, focused on workforce and mixed-income housing in Essex, Passaic, and Hudson Counties, NJ. We prioritize deals where public incentive programs (PILOT, LIHTC, ASPIRE, HUD/HMFA) are viable and where our municipal relationships provide a sourcing or execution advantage.
Is this open to accredited investors only?
Yes. Investment opportunities are structured in accordance with applicable securities regulations and are available to accredited investors as defined under SEC Rule 501. Minimum investment thresholds, deal structure, and terms are disclosed in deal-specific offering documents.
How are construction costs underwritten?
Construction costs are underwritten deal-by-deal using current market pricing — not generic benchmarks. Our own contracting arm allows us to develop precise cost models based on actual scope, current labor market conditions, and material pricing. This also captures GC margin within the deal structure rather than passing it to a third party. Detailed assumptions are provided in deal-specific investment materials, not on public pages.
What is the typical hold period and return structure?
Hold periods and return structures vary by deal. Workforce and mixed-income multifamily projects typically target a 5–10 year hold with preferred return, profit participation, and refinance event distributions. We are structured deal-by-deal at this stage, not as a pooled fund. Specific structures are in each deal's investment documents.
How do you handle investor reporting and transparency?
Investors receive regular reporting on project milestones, cost-to-date, timeline updates, and any material changes to deal assumptions. We are committed to institutional-grade transparency — especially as an emerging sponsor where trust is built deal by deal, not assumed.
You are an emerging sponsor — what does that mean for investors?
It means we are clear-eyed about where we are. Distinct District is in active pre-development on our first institutional deals. Our advantage is not a completed track record — it is operational depth, market relationships, and a development and construction structure that is in place and functioning. Investors entering at this stage do so with aligned incentives and early-mover positioning. We do not overstate what we have. We build trust by delivering.
How do I request deal-specific information or the investor package?
Contact us directly at Del@distinctdistrict.group or 732-844-0215. We will assess fit and provide deal-specific materials to qualified investors under appropriate confidentiality terms.
